Corteva Agriscience is looking for a Lead Counsel, Mergers and Acquisitions. This position provides leadership, expertise and counsel to senior management and business unit teams for a broad range of global merger and acquisition transactions, including acquisitions, divestments, joint ventures and early-stage investments. This position will play a significant role in M&A transaction planning, execution, and risk analysis while collaborating with senior leaders and project teams to support inorganic growth efforts. This role provides an excellent opportunity for growth within the organization and involvement in high-impact projects.
This position can be located at the Company's locations in Wilmington, DE, Indianapolis, IN, and/or Johnston, Iowa. Occasional travel may be required for this role.
Primary Responsibilities - How will you help us Grow!
- Assist in the identification and evaluation of risks and opportunities associated with M&A opportunities, including acquisitions, divestitures, joint ventures, early-stage investments and partnerships.
- Lead preparation, review and revisions of Memorandums of Understanding, Asset Purchase Agreements, Stock Purchase Agreements, Shareholders' Agreements and all related ancillary transaction documents, instruments and agreements related to Company transactions.
- Lead the process of gathering and integrating stakeholder input on deal documentation and regularly participate in and/or lead the negotiation process.
- Lead process discipline and consistency on Company transactions. Supervise legal due diligence activities on assigned Company transactions related to: (i.) defining scope legal due diligence, (ii.) reviewing and evaluating all due diligence findings, including commercial and supporting functional findings, (iii.) preparation of comprehensive a professional due diligence reports, (iv.) interactions with R&W insurance providers, and (v.) interactions with internal commercial and corporate development teams.
- Manage transaction signings and closings.
- Optimize use and engagement of outside counsel.
- Communicate with Company transaction teams, clients, functional transaction team members, and opposing counsel regarding all aspects of Company transactions, including leadership of transaction processes and execution.
- Coordinate anti-competition and merger clearance communications with antitrust lawyers.
- Contribute to and assist with global knowledge management, including Company processes, practices and resources.
- Assist with entity management and rationalization projects as assigned.
Experience and Education - What you'll bring to the table!
- Must have a law degree and be a practicing attorney in good standing with at least 5 years of regular experience handling mergers, acquisitions, divestitures, joint ventures and venture capital transactions of all types, sizes and complexities.
- Excellent communication, analytical, negotiation, writing and drafting skills.
- Experience in the structuring and execution of transactions, including planning for and managing due diligence, drafting transaction documents, handling closings and integration planning, implementation and execution.
- Experience with client counseling at different levels of experience and sophistication.
- Experience with the identification and assessment of transaction risks, and an ability to provide practical, solutions-oriented advice to enable proper monitoring, management or mitigation of risks.
- Merger analysis and regulatory filings experience.
- Securities law experience, preferred.
- Strong computer skills in software, including but not limited to, Excel, PowerPoint and Word.
