Job Summary


 


The Scoular Company’s legal department is a dynamic group of professionals currently officed in two cities (Minneapolis, Minnesota and Omaha, Nebraska) who handle all legal, compliance, and governance related matters for the company and its expansive operations around the world. Organized in a specialist model, with teams focusing on domestic commercial transactions, international transactions and operations, and employment, compliance, litigation and regulatory matters, the team is led by the Chief Legal Officer who offices in the company’s Omaha headquarters.


 


This is a full-time position.  The ideal candidate will have at least five (5) years of combined law firm and in-house experience handling international commercial transactions, international corporate governance, and technology transactions with expertise in intensive and detailed contract drafting and analysis. This position can be located in Omaha, NE, Overland Park, KS, or Minneapolis, MN.


 


Negotiate and structure third-party relationships to mitigate the company’s risk exposure, protect the company’s assets and optimize the company’s opportunities.  Draft, review and negotiate contracts for our international business operations including:



  • Asset Purchase Agreements

  • Divestiture Agreements

  • Confidentiality, Non-Compete and Non-Solicitation Agreements

  • Product Purchase and Sale Agreements

  • Product Handling and Storage Agreements

  • Product Marketing and Supply Agreements

  • Construction Agreements

  • Consulting Agreements

  • Transportation-related Agreements

  • Credit, Security and Financing Agreements

  • Real and Personal Property Leases

  • Real Property Purchase and Sale Agreements

  • Technology Agreements


Assist in corporate governance matters for foreign subsidiaries (minutes, board and shareholder resolutions, annual filings, record books, etc.) and serve as thought partner to Senior Associate General Counsel on certain high-level matters such as international expansion and multi-jurisdictional corporate reorganizations.


 


Assist in accomplishing the company’s growth and diversification through joint ventures, investments, acquisitions and divestitures, through:



  • Performing legal due diligence

  • Drafting documents related to the formation of a joint venture or acquisition (entity formation and governance, asset contribution or purchase agreements, assignment agreements, financing arrangements)

  • Working with integration team to ensure alignment with legal rights and obligations

  • Negotiate and draft venture capital investments and agreements


Contribute to the competence of operating businesses and personnel, and contribute to the company’s culture of continuous learning and improvement, including:



  • Performing legal research as needed to support the company’s international operations or as otherwise required

  • Identify and proactively counsel business leaders on the legal risks associated with evolving business operations in multiple jurisdictions

  • Identify and proactively counsel business leaders on protecting company assets (perfecting ownership, competitive barriers, etc.)

  • Assist with counseling company personnel in maintaining compliance with company policy, insurance requirements, trade rules and applicable laws and regulations


Contribute to the capability and capacity of the company to provide key service functions, including:



  • Maintain a practical, working knowledge of the company’s financing arrangements and advise as relevant to non-U.S. company subsidiaries and affiliates

  • Assist with the management and protection of the company’s intellectual property


Build and maintain an active network of on-demand outside counsel resources in areas of specialty particularly relevant to the company’s international business and operations

Requirements

Minimum



  • J.D. and licensure in at least one state.

  • At least five (5), and preferably eight (8), years prior experience in the following areas: law firm and in-house experience in international business transactions, commercial contracts, technology transactions, mergers and acquisitions, capital investments, and joint ventures.

  • Experience in intensive and detailed contract drafting and analysis.

  • Experience in the corporate governance of non-US legal entities.

  • High learning agility, ability to navigate change, and manage a diverse portfolio of work.

  • Complex and creative problem-solving skills.

  • Experience investigating legal problems and/or issues and developing solutions for the same in partnership with business colleagues.

  • Experience partnering with legal professionals, with a demonstrated ability to join a new team and leverage change management skills.

  • High level of business acumen and attention to detail.

  • Demonstrated aptitude for strategic thinking, an ability to anticipate problems, a track record of timely completion of projects and assignments, and a keen ability to summarize and explain legal complexities.

  • Experience in the agriculture, food, feed, grain, and/or logistics spaces preferred
