The Legal Counsel position reports to the Associate General Counsel, EMEA and supports not only all ADM business units active in Poland but also the Agricultural Services & Oilseeds business unit ("AS&O") in the EMEA region. It is an unlimited full time position.

The key goals are:
  • provide capable, business oriented and timely advice on legal issues affecting the ADM businesses and its respective joint ventures in Poland, the AS&O business in EMEA and such other relevant businesses on an ad hoc basis and foster integrity in the daily routine and interactions with the business.
  • identify, assess and mitigate proactively legal risks for the business.
  • work in close contact with commercial management and be the first point of contact for the daily legal matters
Your Key Responsibilities

Business and Contract law

  • Drafting, reviewing, and negotiating complex agreements and other legal documentation (including General Terms & Conditions).
  • Following best market practices and implement them into ADM contracts.
  • Providing internal training on contracts, antitrust matters, and changes to legislation for non-lawyers (Commercial/Sales teams).

    Dispute Resolution
  • Handling pre-court claims and settlements in Poland and in EMEA.
  • Developing legal strategy, supervising and managing external counsels in court litigations and arbitrations in Poland and EMEA.

    Public law
  • Advising on public law issues related to the ADM's food production sites in Poland, including food & feed safety law, construction and environmental law.

    Corporate
  • Corporate law support in relation to ADM entities and joint ventures in Poland.
  • Legal support in cross-border M&A transactions.
Your Profile
  • Fully qualified lawyer in Poland and licensed to practice law.
  • Preferably at least 5 years post-qualification experience in the legal area, be it in-house or in a reputable law firm. International experience is mandatory.
  • You have a solid foundation and practical experience in contract law and governance/compliance. Experience in corporate law, transactions and M&A is preferred.
  • Fluent in English and Polish. Knowledge of any other language spoken in the EMEA region is a plus.
  • Ability for cross-functional team work, working with different jurisdictions and languages.
  • Excellent negotiations, analytical and problem solving skills.
  • Verbal and written communication and presentation skills to communicate effectively with others at all levels of the organization.
