Position Summary and Key goals

  • Provide daily support and counseling for all business units (Animal Nutrition, Agriculture Services, Human Nutrition, and Carbohydrate Solution) and supporting functions (Procurement, Regulations, Operation (Production), Supply Chain, HR, etc.) in Vietnam.
  • Supervise and ensure compliance with local regulations and the company's policies by all business units and supporting functions.
  • Directly report to Senior Legal Counsel, Animal Nutrition APAC, Vietnam cum Vietnam Legal Counsel (all VN business units).
  • Key goals: providing proactive and effective commercially focused legal support for ADM's business operation in Vietnam.


YOUR RESPONSIBILITIES

  • Respond to and assist with daily questions and requests of business units and functions in Vietnam;
  • Draft, review, advise on, and negotiate contracts and other legal documents to support daily operation of the business;
  • Review and update standard contract templates and better contract review and filing processes.
  • Supervise and be in charge of corporate works of the local entities, including but not limited to updating corporate documents, obtaining business licenses, permits, certificates from time to time, and archiving the same;
  • Partnering with other corporate functions to protect company's interests and contribute to and deliver company's goals and developments;
  • Assist Senior Counsels in providing legal advice and counselling to the local businesses;
  • Assist Senior Counsel in mergers and acquisitions, strategic alliances, joint ventures, and other corporate transactions and corporate restructuring in Vietnam;
  • Cooperate with US/EMEA headquarters Legal & Compliance functions where necessary;
  • Perform all other legal and compliance-related responsibility as necessary and as directed by senior counsel.


YOUR PROFILE

  • Education: Bachelor of Laws (LLB) at reputable law school and prefer a Master of Laws (LLM) or a qualified lawyer in Vietnam;
  • Around 5 years of experience in international law firms or leading domestic law firms (specialized in Corporate, M&A, labor; experience in dispute resolution is a plus); in-house experience with MNCs in similar industry would be preferred but not necessary.
  • Have a business-oriented, practical, solution-oriented mindset and analytical and negotiation skills;
  • Good communication skills to interact, develop, and maintain a good relationship with internal and external clients and drive desirable outcomes through influence;
  • High degree of self-management to work proactively and independently, contribute to teamwork, and be able to determine and prioritize matters efficiently;
  • High understanding and sense of compliance (including anti-corruption, anti-bribery, trade sanctions, and anti-trust);
  • Flexibility with traveling domestically upon demand;
  • Highest ethical standards and strong integrity;
  • Native in Vietnamese and fluent in both verbal and written English.
