The Role

We are looking for a dynamic and detail-oriented Legal Counsel to join our team in Romania. This role supports the company's day-to-day legal operations by providing legal advice and ensuring the timely preparation, review, and management of legal documentation. The role focuses on delivering high-quality legal support across corporate governance, contract management, legal research, and litigation activities while ensuring compliance with applicable laws and internal requirements.

Responsibilities

Reporting to the Legal Manager, the main responsibilities of this role are:

  • Draft and review contracts, corporate resolutions, powers of attorney, legal correspondence, and other documents with legal significance for the company.
  • Prepare and submit documentation related to corporate governance matters and statutory changes with the Trade Registry (ONRC).
  • Conduct legal research and analysis on specific topics to support business decisions and compliance requirements.
  • Prepare legal opinions, memoranda, and briefing notes on matters relevant to the organization.
  • Support litigation matters by collecting, reviewing, organizing, and maintaining legal documentation and case files.
  • Ensure proper physical and electronic filing, archiving, and maintenance of legal records and documentation.
  • Monitor legal deadlines and support the timely completion of legal projects and regulatory requirements.
  • Collaborate with internal departments and external stakeholders on legal matters impacting business operations.
  • Support the implementation and continuous improvement of legal processes and documentation standards.
  • Perform other legal-related activities as requested by the direct manager.
Requirements & Qualifications
  • Law degree (LL.B. or equivalent legal qualification).
  • 2-3 years of experience within a commercial company, legal department, or law firm.
  • Strong knowledge of Romanian corporate and commercial law.
  • Experience with Trade Registry (ONRC) procedures and corporate governance activities is an advantage.
  • Advanced user of Microsoft Office applications (Word, Excel, Outlook).
  • Experience using legal research tools and legislative databases (e.g., SINTACT, Lege5).
  • Advanced English language skills, both written and spoken.
  • Strong analytical and legal reasoning skills.
  • Excellent organizational skills and ability to manage multiple priorities simultaneously.
  • High level of accuracy, attention to detail, and confidentiality.
