About the role.
The Corporate Services Coordinator (Law Clerk) is responsible for supporting corporate governance, legal entity management, and corporate compliance activities across the McCain group of companies. Reporting to the Manager, Global Corporate Governance & Board Services, this role ensures the accurate preparation, maintenance, and organization of corporate records and legal documentation while supporting regulatory compliance, banking requirements, corporate transactions, and strategic initiatives.

 
What you’ll be doing.

  • Maintain and organize electronic minute books and corporate records for Canadian, U.S., and international entities.
  • Prepare and coordinate routine corporate governance documentation, including directors’ and shareholders’ resolutions, written consents, certificates, and corporate extracts.
  • Update legal entity databases, ownership records, and organizational charts to ensure accuracy and completeness.
  • Coordinate annual and ongoing corporate compliance activities, including statutory filings, regulatory registrations, annual resolutions, and risk-related documentation.
  • Support legal entity administration activities related to reorganizations, transactions, incorporations, amalgamations, dissolutions, continuances, and other corporate initiatives.
  • Prepare draft Know Your Customer (KYC), Anti-Money Laundering (AML), and due diligence responses, including gathering and validating supporting corporate information and documentation.
  • Support banking and treasury-related requests by preparing officer certificates, corporate resolutions, and other documentation required for banking activities across global subsidiaries.
  • Liaise with external law firms, corporate service providers, financial institutions, and professional advisors to coordinate deliverables and maintain governance standards.
  • Review corporate information and documentation for accuracy, completeness, and compliance, escalating issues or discrepancies as appropriate.
  • Maintain organized repositories of executed corporate documents, correspondence, and work product to support governance and compliance requirements.

 

What you’ll need to be successful.

  • Diploma or certificate from an accredited Law Clerk program.
  • 2 to 5 years of corporate law clerk experience.
  • Experience maintaining corporate records, minute books, governance documentation, and statutory filings.
  • Knowledge of legal entity management, corporate governance, and corporate compliance requirements.
  • Experience supporting KYC, AML, due diligence, banking, or treasury documentation processes is considered an asset.
  • Strong organizational skills with exceptional attention to detail and the ability to manage multiple priorities and deadlines.
  • Ability to work independently while collaborating effectively within a team environment.
  • Strong communication skills and the ability to coordinate with internal stakeholders and external advisors.
  • Proficiency in Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook, as well as Adobe Acrobat.
  • Experience working with corporate entity management software such as Diligent or similar platforms.

 

About the team.
The Global Corporate Governance & Board Services team supports McCain’s legal entities and governance framework across multiple jurisdictions. Working closely with legal, finance, treasury, and external advisors, the team is responsible for maintaining corporate records, ensuring compliance with regulatory requirements, and supporting strategic corporate initiatives. The Corporate Services Coordinator (Law Clerk) plays an important role in enabling efficient governance processes and maintaining the integrity of McCain’s legal entity information and documentation.

Compensation Package: $65,500.00 - $87,400.00 . CAD annually + Bonus Eligibility
